Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you and ReMingle AS, a Norwegian aksjeselskap (AS) registered in Norway ("Semplo", "we", "us"). By creating an account or otherwise using Semplo, you confirm that you have read, understood and agreed to these Terms.

If you do not agree, do not use the service.

2. The service

Semplo is simple job software for trades. It helps small service businesses manage customers, quotes, jobs and invoices, generate PDFs, send email reminders and view basic financial overviews. The exact feature set may change over time as we improve the product.

3. Your account
  • You must provide accurate registration information and keep it up to date.
  • You are responsible for safeguarding your login credentials and for any activity under your account.
  • You must be authorised to bind the business you register on behalf of, or be of legal age in your jurisdiction.
4. Acceptable use

You agree not to use Semplo to:

  • Break the law or infringe anyone's rights.
  • Send spam, phishing or fraudulent communications.
  • Upload malware, attempt to probe, scan, scrape or otherwise compromise the service.
  • Reverse engineer, resell, sublicense or redistribute the service.
  • Circumvent technical limits, plan limits, or security controls.
5. Ownership of content and IP

Your data is yours. You retain ownership of all customer, job, quote, invoice and business data you put into Semplo. You grant us a limited licence to host and process that data solely to provide the service to you.

Our software is ours. Semplo, its source code, branding, design, templates and documentation are owned by us. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with your subscription.

6. Subscription, billing and Paddle (Merchant of Record)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

  • Semplo subscriptions are billed monthly in advance via Paddle.
  • Paddle calculates, collects and remits applicable VAT and sales tax on our behalf.
  • Plans start with a free trial. After the trial, your card is charged for the plan you selected.
  • You can upgrade, downgrade, update your card or cancel at any time from Settings → Billing, which opens the secure Paddle customer portal.
  • When you cancel, you keep access until the end of your current billing period; we do not pro-rate cancellations.
  • If a renewal payment fails, we give you a grace period and a clear in-app notice before access is restricted.
7. Refund policy

We offer a 14-day money-back guarantee. If you are not satisfied with Semplo, you may request a full refund of your most recent subscription charge within 14 days of that charge.

To request a refund:

Refunds are processed by Paddle, our Merchant of Record. After the 14-day window, we may still consider refund requests on a case-by-case basis (for example, double charges or service outages).

8. Service availability and disclaimer

We work hard to keep Semplo running well, but we do not guarantee uninterrupted or error-free operation. The service is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law. No specific uptime SLA is offered in this version of Semplo.

To the extent permitted by law, our aggregate liability arising out of or in connection with the service is limited to the fees you paid for the service in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, including loss of profits, data or goodwill. Nothing in these Terms limits liability that cannot be limited by law (such as for fraud, death or personal injury).

9. Suspension and termination
  • You can cancel and/or delete your account at any time from Settings.
  • We may suspend or terminate accounts for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations.
  • On termination, your right to use the service ends. You can export your data from Settings before deleting your account. After deletion, we remove your data in line with our Privacy Policy.
10. Changes to the service or these Terms

We may update the service and these Terms over time. For material changes we will give reasonable advance notice (for example, by email or via the app). Continued use after changes take effect means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of Norway. The courts of that jurisdiction have exclusive jurisdiction over any disputes, except where mandatory consumer law gives you the right to bring proceedings in your country of residence.
